Note: This Terms of Service is a client-facing summary of key business terms and should be used alongside any executed proposal, statement of work, or master services agreement. In case of conflict, the executed agreement governs.
1. Services & Scope
Zeitra provides automation design, build, integration, monitoring, and maintenance services, primarily executed inside n8n. Services fall into three categories: Origin Builds (one-time automation projects scoped into Foundation, Bridge, Operations, or Enterprise tiers), Workflow Elevations (scored modifications to existing automations), and Continuum Care (ongoing operational care, monitoring, and reporting). Each engagement is scoped and priced per proposal or invoice.
2. Ownership & Accounts
Upon full payment, the Client owns the automation deliverables created for them. Automations are implemented in the Client's n8n account, which the Client must create and control. We retain ownership of pre-existing tools, templates, libraries, and operational frameworks used to deliver services. We grant the Client a license to use any such tools as necessary to operate the delivered workflows.
3. Payment Terms (Origin Builds)
The deposit at signing equals the minimum of the agreed tier. Once work begins, the deposit is non-refundable. We document work in the Origin Build Log. The final project total is calculated based on the actual size of the delivered build, capped at the tier maximum. The deposit is deducted from the final reconciled total. The remaining balance after deposit may be split across 1 to 6 monthly payments via the Origin Finance Plan, with the term chosen by the Client at delivery once the final number is known. The plan applies to the final reconciled total from the Build Log regardless of how that total was reached. Signing the Origin Finance Agreement triggers immediate build handoff. The first scheduled auto-charge runs 30 calendar days after signing, with each subsequent charge processing monthly until the chosen term completes. Tier overflow (scope growth toward the ceiling) triggers a written client decision before further work proceeds. Changes or additional scope requested after handoff are treated as Workflow Elevations and billed independently.
4. Payment Terms (Continuum Care)
Care begins the day after the partnership agreement is signed. Care is billed monthly in advance and continues month-to-month after a one-month minimum term. Either party may terminate with 14 days' written notice. Monthly Care fees are non-refundable.
5. Workflow Elevation Pricing
Elevations use a procedure-based point system at $50 per point with a $50 minimum. Each request is scoped, scored, and approved in writing before execution. The Workflow Elevation Point Library defines point values per action type.
6. Discounts
Active partners receive a 15% discount on Origin Builds and Workflow Elevations. Repeat clients (booking a new build within 30 days of a previous handoff) receive a 10% discount. Discounts do not stack.
7. Documentation & Logs
We provide the Client with the Origin Build Log and the Elevation Log as a record of work performed. The Logs are provided for transparency and reconciliation only and are not intended as an operational training manual.
8. Access, Credentials & Security
The Client supplies any required third-party credentials as needed for integrations. Clients may use OneTimeSecret, OAuth flows, or an agreed secure transfer method. We do not store credentials outside of the client's n8n instance. Operators work within the Client's n8n account only.
9. Warranties & Performance
We perform services using reasonable skill and care consistent with industry standards. We do not warrant that automation will be error-free or uninterrupted. We do not guarantee specific business results, only that deliverables will function as specified in the agreed scope.
10. Liability & Indemnification
Our maximum aggregate liability for a given engagement is limited to the total fees paid by the Client to Zeitra for the specific engagement that gave rise to the claim. Neither party is liable for lost profits, loss of data, or other indirect or consequential damages except as required by law. The Client agrees to indemnify and defend Zeitra against claims arising from Client-supplied content, misuse of deliverables, or unauthorized third-party integrations.
11. Confidentiality
Both parties will keep confidential information confidential and use it only to perform obligations under this Agreement. We will not disclose or reuse Client proprietary workflow logic or data outside the scope of the engagement without Client consent.
12. Termination & Suspension
Either party may terminate Origin Builds per the executed agreement. Deposits and payments for work already performed remain non-refundable. Either party may terminate Continuum Care with 14 days' written notice after the one-month minimum term. Upon termination, the Client retains ownership of delivered automations. We may suspend services for overdue amounts after notice.
13. Dispute Resolution & Governing Law
Parties will attempt to resolve disputes informally first. These Terms are governed by the laws of the State of New Hampshire, United States. In the event of litigation, the prevailing party may recover reasonable attorneys' fees.
14. Data Protection
Our Privacy & Data Protection Policy describes how we handle data, credentials, and security. Client use of services indicates acceptance of that Policy.
15. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, provided the affected party notifies the other promptly.
16. Miscellaneous
These Terms may be updated. Material changes are communicated in advance. The executed proposal/SOW and these Terms constitute the entire understanding between the parties. If a provision is invalid, remaining provisions remain in force.
